Terms of Service
Last updated
These terms are the agreement between you and Du3 when you use usedu3.com, the Du3 web and mobile apps, company sites on *.usedu3.com and the Du3y app for Slack and Discord (together, “Du3”). Du3 is operated by Numbers Ventures Limited, a company registered in Nigeria, of Plot 598, CAD Zone 07, Citizen Avenue, Dawaki, FCT, Nigeria (“Du3”, “we”, “us”).
If you use Du3 for a company, you agree to these terms for that company and confirm you’re allowed to.
1. Who these terms cover
- Customers — companies that sign up for a Du3 plan. The person who signs up is the owner.
- Team members — admins and channel members the customer lets use Du3.
- Contractors — people and businesses who send invoices to a customer through a Du3 link, with or without a free contractor account.
- Clients — people who receive invoices from a customer. They don’t need an account; these terms apply to their use of hosted invoice pages.
2. Your account
- Give us accurate information and keep it up to date.
- Keep your sign-in secure. You’re responsible for what happens under your account.
- The owner controls the company account, including billing, the Slack and Discord connections and who is an admin.
- Tell us straight away at [email protected] if you think someone has got into your account.
3. Plans, prices and payment
- Du3 is a paid service. There is no free tier. Contractor accounts are free.
- Prices are shown on our pricing page and depend on your company’s billing country. Customers in Nigeria pay in naira through Paystack.
- Plans bought in the Du3 app are paid through the Apple App Store or Google Play, at the price the store shows, and follow the store’s own billing terms.
- Plans are billed monthly or yearly, in advance. Yearly plans cost 12 months minus 10%.
- Your billing country is confirmed at checkout and locked to your subscription. Changing it needs our support team.
- Prices exclude taxes unless we say otherwise. You pay any taxes that apply.
- If a payment fails we’ll try again and tell the owner. After a 7-day grace period, the account becomes read-only until payment is made.
- We may change prices. We’ll tell the owner at least 30 days before a change affects you, and it applies from your next billing period.
- Private beta: companies we invite to the private beta get a free trial for the period we tell them (currently 2 weeks) with full access. After it ends, the owner must choose a plan to keep making changes.
4. Cancelling and refunds
- The owner can cancel at any time in Settings. If you bought your plan in the Du3 app, cancel it in your App Store or Google Play subscriptions. Your plan stays active until the end of the period you’ve paid for.
- Refunds are handled by the payment provider you paid through (Paystack, Apple or Google), under their rules and the law that applies to you.
- When a plan ends, the account becomes read-only: you can still view and export your data.
5. What Du3 does — and doesn’t do
- Du3 helps you create, send, collect and track invoices, and posts updates in Slack or Discord.
- Du3 does not move money. Payments between customers, clients and contractors happen outside Du3. Marking an invoice “paid” is a record made by the customer, not a payment.
- Du3 is not an accounting, tax or legal adviser. You’re responsible for your invoices, their contents and your tax obligations.
- Du3y uses AI models to understand plain-English requests. It can create invoices, edit them and record payments when you ask. It asks you to confirm before sending an invoice or deleting anything. Check that it understood you, and review what it does.
6. Your content
- “Your content” means everything you or your contractors put into Du3: invoices, client and contractor details, custom field answers, files and messages.
- You own your content. You give us permission to store, process and show it only to run and improve Du3 for you, as described in our Privacy policy and Data processing agreement.
- You confirm you have the right to share the personal data in your content with us, including contractors’ bank details and tax IDs.
7. Acceptable use
Don’t use Du3 to:
- send fake, fraudulent or misleading invoices, or pretend to be another company (including with a branded site name);
- upload malware or harmful files;
- break the law, including sanctions, anti-money-laundering and data protection laws;
- try to access another company’s data, test our security without permission, or overload our systems;
- resell Du3 without our written agreement.
We may suspend accounts or branded sites that break these rules, and we check new branded sites before they go public.
8. Slack, Discord and other services
Du3 works with Slack, Discord, the App Store, Google Play and other third-party services. Your use of them is also covered by their own terms. If you remove Du3 from Slack or Discord, Du3y stops working there, but your data stays in Du3 until you delete it.
9. Availability and changes
We work hard to keep Du3 running, but we can’t promise it will always be available or error-free. We may change or improve features. If we remove something important you pay for, we’ll tell you in advance.
10. Ending the agreement
- You can stop using Du3 and delete your company at any time. We keep a deleted company for 90 days, then delete it for good, as our Privacy policy explains. Export anything you need first.
- We may suspend or end your access if you seriously or repeatedly break these terms, or if the law requires it. Where we can, we’ll warn you first and give you time to export your data.
11. Liability
- Du3 is provided “as is” and “as available”. To the extent the law allows, we don’t give any promises beyond those in these terms, including that Du3 will suit a particular purpose.
- We’re not liable for indirect or consequential losses, lost profits, revenue, data or goodwill, or for payments made or missed between you and others.
- Our total liability to you for all claims in any 12 months is limited to the greater of what you paid us for Du3 in those 12 months and US$100 (or the same amount in naira).
- These limits don’t apply to fraud, to death or personal injury caused by negligence, or to anything else the law doesn’t allow us to limit.
12. Your responsibility to us
If someone makes a claim against us because of your content, your invoices, a dispute between you and your clients or contractors, or your breach of these terms or the law, you’ll cover our reasonable losses and costs from that claim. We’ll tell you about the claim promptly and let you take part in how it’s handled.
13. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, and disputes go to the courts of the Federal Capital Territory, Abuja, unless the law where you live says otherwise.
14. Changes to these terms
We may update these terms. If a change is significant, we’ll tell the owner by email or in the app at least 30 days before it takes effect.
